01.12.2004: Netia (CA 2004 : 6,5 MEUR), le spécialiste de la conception de logiciels de diffusion de programmes de radio et de télévision, vient d'être racheté par ses dirigeants et salariés, dans le cadre d'un MBO réalisé avec les investisseurs I-Source Gestion et Mangrove Capital Partners. Le montant de la transaction atteint 2,5 MEUR en cash et 0,75 MEUR en obligations remboursables. Netia était détenu depuis 1999 par le groupe belge EVS Broadcast Equipement. Les deux tiers des 65 employés contrôlent désormais 92 % du capital, les 8 % restants devant être acquis auprès d'EVS pour 0,45 MEUR. Par ailleurs, Netia a pris le contrôle de la société parisienne Manreo (CA 2003 : 0,7 MEUR) pour un montant non dévoilé. La société renforce ainsi son offre dans les technologies IP (permettant la transmission d'images et de sons sur Internet). Les logiciels de Manreo répondent en effet aux problématiques des différents métiers liés à la diffusion des images et des sons sur Internet, dans lesquels Netia veut s'imposer comme un acteur international majeur. 01.12.2004: Stewartry Care, a company providing hygiene and healthcare services for people in Dumfries and Galloway, has been sold to its staff in a deal backed by the Baxi Partnership, which specialises in supporting employee buy-outs. The deal will see Jane Young net around £240,000 for an 80% stake in Stewartry, which she founded 15 months ago. She is selling the shares to a trust from which 132 employees will benefit. It is the seventh takeover to be completed with support from the £20m Baxi fund set up by David Erdal, a former chairman of papermaker Tullis Russell to promote employee ownership. Royal Bank of Scotland provided an undisclosed amount of mezzanine funding for the transaction, under which Stewartry was valued at £300,000. Young will remain as managing director and retain a 20% stake in the firm, while the remainder will be held by an employee benefit trust. This will distribute shares to employee-owners every year in which Stewartry, which is forecasting turnover of £1.74m this year, is profitable. The company is headquartered in Castle Douglas and provides services such as helping people with disabilities to wash and shower in their homes, on behalf of local authorities and private clients. Some 25% of people living in Dumfries and Galloway are aged over 60, and the numbers in that group are set to increase significantly. Erdal founded the Baxi Partnership in 2002 after studying employee ownership models around the world and particularly in Italy. He belongs to the family which owned Tullis Russell, before selling the business on to its employees. The partnership has previously backed buy-outs including the £4m purchase of the Loch Fyne Oyster Company and the takeover of Inverness-based Highland Home Carers.
